CONFLICT OF INTEREST POLICY

With more members holding professional and volunteer jobs, the potential for conflicts of interest increases, and we need to have mechanisms in place to clarify how to address potential conflicts.

  • Any member who might profit financially or personally from a relationship or transaction with the GCW should avoid that situation and discuss the potential conflict with the appropriate committee chair and members of the Executive Committee.

  • Members who have a potential conflict of interest must disclose that potential and recuse themselves from any vote related to the potential conflict.

  • Any member of the GCW who is an employee or a board member of another organization is expected to reveal that connection in advance if the other organization is making a proposal for funding or shared activities. Again, such members should recuse themselves from a GCW vote on funding or partnering with the other organization, although they may discuss their links to the other organization and advocate for it.

  • The financial affairs of the Garden Club of Wilmington are confidential to its members. It is not appropriate to discuss them with other

    organizations or individuals.

  • For any voting matter that comes before the Club, Active Members, Associate Members, and Honorary Members may

vote. Affiliate Members and Sustaining Members may join the discussion but may not vote.
